The birth of a great business
One
day, two managers of a multinational that produced household luxury
goods came to our offices to ask our advice on a new project.
They had been able to get the representation of a brand of luxury
glassware and ceramic goods from a well-known Austrian firm. They
made a great team. And both had long experience in their specialities:
sales and financial-administrative, yet still had the usual doubts
of any new business person.
Our
advice became the motivating factor behind them putting the
project into action.
Gabinete Guerra provided the necessary time and resources to
set the company up. We dealt with the major logistic problems
that arose, and when the company was up and running, we became
their financial and fiscal advisers: a relationship which has
lasted over 20 years. During this time the company has grown
in terms of turnover, assets, employees and profit, and has
become the leader in its sector in Europe. This is due to its
structure, the quality of its sales team, and its profit-making
ability. Its results have been so good that, recently, the multinational
manufacturer that sells its products here in Spain proposed
buying the shares from the partners a year after the representation
agreement had ended. Our professionals were there at every stage
of the negotiation and sales process.
The
outcome of the negotiation, the job of valuing the shares, the
relationship with the advisers of the purchasing company and
our financial advisers was excellent and was fundamental in
reaching a satisfactory result for both parties. The new owners

An important agreement
Two
partners decided to dissolve their partnership. The older one
wanted to retire, while the younger one wanted to develop new
projects. Neither of them wanted to make any mistakes in the dissolution
process, yet both were absolutely certain that, whatever happened,
the company that they had built up together should not be affected.
This
is when they came to us for advice. The solution was to effect
a fair contract of sale. To help them reach an agreement as
easily and as quickly as possible, we drew up a report with
a valuation of the shares using three methods which gave an
average value that both parties would be happy with.
As
well as this starting value for the negotiation, we provided
experienced and expert judgement to help them make their decisions.
The negotiation was a success. It was fast, transparent, constructive,
free of unnecessary friction, and most importantly the company
did not suffer.

A bespoke solution
The
Spanish subsidiary of a Scandinavian multinational was looking
for a labour consultant. The company, which had 40 employees,
boasted very advanced human resources policies and made extensive
use of information technology and telecommunications. It had
very specific requirements. These included maintaining salary
confidentiality within the organisation; being able to communicate
by phone or computer with all the employees of the company;
fluent English to facilitate dealings with the parent company;
abiding by the law, and maintaining the highest service efficiency
and effectiveness.
At
Gabinete Guerra we had all the necessary resources to create
a fruitful working relationship, not least of which was our
ability to understand the philosophy of a very unique organisation
type. We set up the information technology links by liaising
closely with the company computer department, and then began
providing our labour advisory service.
Our
service today includes providing labour advice to the organisation
both personally and through computer links; the sending of salaries
to the employees' homes and the provision of company bank transfers.
Likewise, we carry out complex calculations of bonuses. In sum,
the company can maintain employee salary confidentiality, manage
personnel administration and has a person available to provide
any service required.

A matter of organisation
An
important textile company with a large factory in Vallés,
near Barcelona in Spain, gave us a problem to solve, which,
despite any thoughts to the contrary, seriously affected company
profitability. The factory produced special fabrics that were
sold to customers by the metre. Due to the special nature of
the fabrics, each production run was unique and produced a new
product reference. To be able to supply customers with repeat
orders, the company produced more material than initially required,
and stored it by colours (using the internal company code).
In
the company 'colours warehouse', which covered an area of over
2,000 square metres, divided into 4,000 different stock locations,
there were some 70,000 SKUs. A computer system allowed them
to locate any product ordered. The system caused an enormous
backlog of errors and a huge number of SKUs. Add to this the
lack of a maintenance system through physical stock rotation
inventories by location and the total lack of data base cleaning
and 40% of customer reorders were unable to be filled. Most
of the orders were not where the system said they were. Not
being able to locate the goods immediately made them obsolete,
and worst of all, caused customer dissatisfaction.
Our
advice was to carry out of a physical inventory of the whole
warehouse, location by location. The customer delegated the
organisation and management of the inventory to us. We drew
up a schedule, set up auditing teams, and gave control of the
company's computer system to the inventory team leaders. The
inventory was carried out systematically over three weeks. By
the end of this time, the company once again had the location
of all its SKUs correctly entered into the computer system.
Our job was a complete success, and sales and profitability
increased along with customer satisfaction.
